What is Crowdfunding?
Equity crowdfunding lets anyone invest in private companies in exchange for shares. By investing through Republic, you become an owner and official shareholder in HACIEN alongside our founders, team and existing investors.
Why invest in HACIEN?
Early investors in drinks brands have shared in some of the industry's biggest success stories, and our ambition is to write the next one. As an owner, you'll share the journey and benefit from being part of an internationally scaling spirits brand.
In addition to your equity ownership, HACIEN offers a range of investor perks at various levels. Learn more about your investor perks here -
What is the minimum investment?
You can invest in HACIEN from as little as £36. You must be aged 18 or over and a resident of the UK, Europe or another country supported by the platform.
What is EIS?
The Enterprise Investment Scheme is a UK government scheme that rewards and incentivises investment in early-stage companies. Qualifying UK investors can claim 30% income tax relief on your tax return, capital gains free growth after three years, and loss relief protection. What happens to my investment?
Your investment buys shares in HACIEN, these shares are held through Republic's nominee structure: Republic handles the administration, voting and paperwork, while the full economic interest belongs to you. Your investment fuels HACIEN's growth and expansion. Our ambition is a strategic acquisition and your returns are expected to come from a future exit or acquisition, though timelines and returns are never guaranteed.
What are the risks?
Investing in early-stage companies carries risk, as with any investment. The main risk being loss of invested funds. You should only invest money you can afford to lose. EIS loss relief provides downside protection for qualifying UK investors. Learn more about risks of investing here - https://republic.com/risks
Can I sell my shares?
The main way you can make money from your investment is by selling your shares for more than you paid for them. There are a couple of ways that this might occur: if the company grows to the point where it floats on a stock exchange, is bought by another company or conducts a share buyback, you are likely to be able to sell your shares – potentially at a profit – at that stage.
Republic's Secondary Market allows investors to list shares for sale between funding rounds. Availability depends on eligibility and buyer demand. There is no guarantee of a buyer for your shares on the secondary market so you should consider treating this as a long-term investment and not rely on an early sale. What happens if HACIEN's campaign doesn’t reach its raise target?
Any funds committed will be immediately returned and you pay nothing. If we exceed the target, we may accept additional investment on the same terms.
Once our campaign closes, and the Republic Europe team has successfully completed legal due diligence and investment documentation, Republic Europe will transfer the funds to the company in exchange for shares. Republic Europe will then send you an electronic share certificate, confirming that you are officially an investor in the business, and will include a link to our post-investment portal where you can keep in touch with us and our progress.
What is 100% agave tequila and why is it important?
Tequila is a protected term, law allows two types: 100% agave, made purely from Blue Weber agave, and mixto, which can be up to 49% cheaper sugars. Almost every flavoured tequila on the market is a mixto-based liqueur, bottled at 15 to 35% ABV with additives. HACIEN is real, licensed 100% agave tequila, flavoured naturally. Authentic heritage, superior quality and our competitive edge in the tequila space.
